Mezzi Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Mezzi websites, mobile applications, and related services (collectively, the “Services”), operated by StockTalk, Inc., doing business as Mezzi (“StockTalk Inc.,” “we,” “us,” or “our”). After the first reference, we refer to ourselves simply as Mezzi throughout this document.

By accessing or using the Services, you agree to be bound by these Terms, including any referenced disclosures. If you do not agree to these Terms, do not access or use the Services.

1. Definitions

The following terms have the meanings described below when used in these Terms:

Advisor persona – A feature of the Services that provides investment advisory guidance based on your information and Mezzi systems.

Advisory Disclosures – Mezzi’s required regulatory disclosures including Form ADV Part 2A (Firm Brochure) and Form CRS.

Advisory relationship – The contractual and regulatory relationship between you and Mezzi when you access advisory features, including during any free trial that provides those features.

Informer persona – A feature of the Services that provides informational content that is not investment advice.

Services – Mezzi’s websites, mobile applications, advisory tools, insight and alert systems, and related features.

Subscription – Your paid access to advisory features of the Services.

You / Your – An individual who accesses or uses the Services and agrees to these Terms.

2. Eligibility

The Services are intended only for:

- Individuals who are U.S. persons

- Retail customers using the Services for their own personal financial purposes

By accessing or using the Services, you represent that you meet these eligibility requirements. Mezzi may refuse access to anyone who does not meet them.

3. Advisory Relationship and Regulatory Disclosures

3.1 How the Advisory Relationship Is Formed

Mezzi is an investment adviser registered with the U.S. Securities and Exchange Commission (SEC). An advisory relationship between you and Mezzi is formed when you gain access to advisory features of the Services, including:

- Access following a Subscription, or

- Access during a free trial that includes advisory chat, insights, or other advisory features

Once this relationship is formed, Mezzi provides investment advisory services subject to these Terms and the Advisory Disclosures.

3.2 Advisory Disclosures

Before or at the time you receive access to advisory features, Mezzi provides you with its Advisory Disclosures. These disclosures are incorporated by reference into these Terms. If any conflict exists between these Terms and the Advisory Disclosures with respect to advisory services, the Advisory Disclosures control.

4. Scope of Services

4.1 Investment Advisory Services

Mezzi may provide ongoing, non-discretionary investment advisory guidance, including:

- Portfolio analysis and asset allocation guidance

- Investment selection and diversification guidance

- Retirement planning insights

- Financial goals planning

- Tax-aware investing strategy guidance (excluding tax advice)

- High-level strategic guidance on insurance, estate planning, debt, and related financial topics

4.2 No Discretion; No Execution or Custody

Mezzi:

- Does not have discretionary authority over your accounts

- Does not execute trades or transactions for you

- Does not custody your assets or funds

You remain solely responsible for all investment and trading decisions and actions.

5. Advisor and Informer Personas

5.1 Advisor Chat Persona

The Advisor persona provides guidance that constitutes investment advisory services by Mezzi acting in its capacity as an SEC-registered investment adviser. Such guidance is subject to fiduciary standards applicable under law and these Terms.

5.2 Informer (Informational) Chat Persona

The Informer persona provides informational content that is clearly labeled as informational. Informer content:

- Is generated using third-party models or AI systems

- May be inaccurate, incomplete, or outdated

- Does not constitute investment advice and is not part of Mezzi’s advisory services

You should verify all Informer content independently.

6. Data and Third-Party Sources

The Services rely on:

- Third-party account and financial data (e.g., read-only data aggregators)

- Information you provide or upload

- Inferred, estimated, modeled, or benchmarked data where full information is unavailable

Advice and insights may be based on incomplete or estimated information. You are responsible for reviewing and validating advice before acting on it.

7. Subscriptions, Free Trials, Fees, and Cancellations

7.1 Subscription Access and Auto-Renewal

Certain advanced features, including advisory tools and chat, require a paid Subscription. Unless otherwise disclosed at sign-up, Subscriptions automatically renew at the end of each billing period for successive periods of the same length.

By subscribing, you authorize Mezzi to charge your selected payment method at the start of each billing period.

7.2 Pricing Changes

Subscription fees are disclosed at sign-up and in the Advisory Disclosures. Mezzi may change fees or pricing with advance notice. Any pricing changes will take effect at the start of your next renewal period.

7.3 Free Trials

Mezzi may offer free trial access to advisory features. Access provided during free trials includes investment advisory services and forms an advisory relationship under these Terms.

7.4 Refunds and Cancellations

You may cancel your Subscription at any time. If you cancel, Mezzi will issue a pro-rata refund for the unused portion of your paid Subscription period in accordance with Mezzi’s billing policies.

8. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to:

- Notify Mezzi promptly of any unauthorized use

- Comply with any security or authentication requirements

Mezzi may suspend or terminate accounts for abuse or security concerns.

9. User Content and Acceptable Use

9.1 User Content

You retain ownership of all content you submit to the Services. You grant Mezzi a limited license to use your content to provide and improve the Services and comply with legal obligations.

9.2 Acceptable Use

You agree not to use the Services to:

- Violate laws, third-party rights, or these Terms

- Upload harmful content (e.g., malware)

- Engage in abusive, fraudulent, or deceptive practices

Mezzi may disable access to content or accounts that violate these standards.

10. Intellectual Property

All rights in the Services, including software, interfaces, and content (excluding your User Content), are owned by Mezzi or its licensors. You are granted a limited, revocable license to use the Services in accordance with these Terms.

11. Third-Party Content and Links

The Services may include links or references to third-party content, products, or services. Mezzi does not endorse these, and we are not responsible for their availability, accuracy, or use.

12. User Communication and Notifications

You agree that Mezzi may provide notices and communications in the following ways:

- Email to the address associated with your account

- In-App Notifications displayed within the Services

- SMS/Text messages to your mobile number

- Push Notifications through the Mezzi mobile app

These communications include policy updates, billing and subscription alerts, regulatory disclosures, advisory notifications, and operational messages. You consent to these electronic communications and acknowledge that they satisfy any legal communication requirements.

13. Disclaimers and Limitation of Liability

13.1 Disclaimers

To the fullest extent permitted by law:

- Informer persona content is provided “as-is” without warranty

- Mezzi does not guarantee uninterrupted or error-free Services

- Regulatory fiduciary obligations apply only to advisory guidance provided under the advisory relationship

13.2 Limitation of Liability

Except for liability that cannot be limited by law, Mezzi and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services.

14. User Indemnification

You agree to indemnify, defend, and hold harmless Mezzi and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

- Your use or misuse of the Services

- Your violation of these Terms

- Your violation of applicable laws or third-party rights

15. Modification or Discontinuation of Services

Mezzi may modify, suspend, or discontinue all or any part of the Services at any time, with or without notice. Mezzi will not be liable for any modification, suspension, or discontinuation of the Services.

16. Arbitration and Dispute Resolution

16.1 Agreement to Arbitrate

You and Mezzi agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services, including the validity, enforceability, or scope of this arbitration clause, will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

16.2 Location and Process

The arbitration will be conducted in San Francisco, California, unless otherwise agreed. The arbitration will be conducted by a single arbitrator, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

17. One-Year Limitation on Claims

To the fullest extent permitted by law, any claim or action arising out of or relating to these Terms or the Services must be brought within one (1) year after the claim first arose. Claims brought after that period are permanently barred.

18. Assignment

Mezzi may assign these Terms in connection with a merger, acquisition, or sale of assets.

19. Termination

Mezzi may suspend or terminate your access to the Services at any time for violations of these Terms or for other lawful reasons. Upon termination, accrued rights and obligations survive as appropriate.

20. Governing Law

These Terms are governed by the laws of the State of California without regard to conflict-of-law principles.

For California residents, additional rights under California Civil Code Section 1789.3 are hereby disclosed.
